General Terms and Conditions

1. Scope

These General Terms and Conditions (GTC) apply to all orders between Abdi Dhiblawe (A.D.Films24), hereinafter the "Contractor", and his clients, hereinafter the "Client", concerning video and photo productions, social media management, social media advertising, digital systems and related services.

2. Offer & conclusion of contract

The Contractor's offers are non-binding. A contract is concluded when the Client confirms the offer in writing (e.g. by e-mail).

3. Scope of services

The exact scope of services (shooting days, deliverables, location, crew, usage period, etc.) is set out in the respective offer or order confirmation. Changes to the scope of services after conclusion of the contract are agreed and charged separately.

4. Prices & payment terms

• All prices are in Swiss francs (CHF).
• On order confirmation, a deposit of 50% of the agreed total price is due.
• The remaining amount is due on delivery of the final deliverables, unless agreed otherwise.
• In case of late payment, default interest and reminder fees may be charged.

5. Dates & force majeure

Agreed shooting dates are binding. For outdoor and drone shoots, the Contractor reserves the right to postpone at short notice and free of charge for weather or safety reasons. The Contractor is not liable for delays caused by force majeure (e.g. severe weather, illness, official orders).

6. Cancellation

If the Client cancels a confirmed order, the following periods apply:

• More than 14 days before the date: free cancellation, the deposit is refunded.
• 7–14 days before the date: 50% of the total price becomes due.
• Less than 48 hours before the date: 100% of the total price becomes due.

7. Corrections & revisions

The agreed price includes one round of corrections to the delivered edit. Further rounds of corrections or change requests that go beyond the originally agreed scope of services are charged additionally on a time-and-effort basis.

8. Usage rights & copyright

After full payment, the Client receives a right to use the finished material for the purpose agreed in the offer (e.g. social media, website, advertising). Copyright in the raw material and the finished work remains with the Contractor in accordance with the Swiss Copyright Act (CopA). Unless agreed otherwise in writing, the Contractor may use excerpts of the material for his own portfolio and reference purposes (e.g. website, social media, showreel).

9. Social media management, advertising & digital systems

The following also applies to these services:

• No guarantee of results: The Contractor provides the services carefully and to the best of his knowledge. Specific results such as reach, followers, clicks, enquiries or revenue are not guaranteed, as they depend on platforms, the market and the audience.
• Ad budget: Costs for ads on platforms (e.g. Meta, TikTok, LinkedIn, Google) are not included in the fee. They are paid by the Client directly through his own ad account. If the Contractor exceptionally advances them, they are charged in advance and without mark-up.
• Accounts & access: Social media, ad and other accounts remain the property of the Client. Access is granted via partner or role access where possible. The Contractor treats login details confidentially and returns them or removes his access when the collaboration ends.
• Approval & content: Posts and ads are only published after approval by the Client, unless agreed otherwise. The Client is responsible for the accuracy of his information (e.g. prices, offers) and for the rights to materials he supplies.
• Monthly packages: Ongoing management is invoiced monthly in advance. Either party may terminate it with one month's notice to the end of a calendar month, unless agreed otherwise. Section 4 (deposit) and section 6 (cancellation) do not apply to it.
• Digital systems: Before work on existing systems (e.g. website, CRM), the Client ensures a current data backup, unless the backup is expressly part of the order. Licence and subscription costs of third-party providers are borne by the Client.

10. Liability

The Contractor is only liable for damage caused by gross negligence or intent. Liability for indirect damage or loss of profit is excluded to the extent permitted by law. There is no liability for outages, suspensions or changes of third-party platforms and services (e.g. Instagram, Meta, TikTok, LinkedIn, Google, hosting or software providers).

11. Data protection

The processing of personal data in the context of the collaboration is governed by our privacy policy. Where the Contractor processes personal data on behalf of the Client as part of social media management or digital systems (e.g. customer data in a CRM), he does so only on the Client's instructions and for the agreed purpose.

12. Final provisions

Swiss law applies. To the extent permitted by law, the place of jurisdiction is the Contractor's registered place of business. Should individual provisions of these GTC be invalid, the validity of the remaining provisions remains unaffected.
